By accessing or using Aancall’s services (the “Service”), including our website, software, APIs, mobile apps, and tools, you (“User,” “you,” or “your”) agree to be legally bound by these Terms of Use (“Terms”). If you do not agree, immediately cease using the Service.

1. Acceptance of Terms

1.1 These Terms form a legally binding agreement between you and Aancall LLC (“Aancall,” “we,” “us,” or “our”). By using the Service:

  • You confirm you have read and agree to our Privacy Policy.

  • You warrant you are at least 18 years old (or the age of majority in your jurisdiction) and legally competent to enter into this agreement.

  • If acting on behalf of an entity, you represent you possess authority to bind such entity to these Terms.

1.2 “Party” refers to you or Aancall; collectively, “Parties”.

2. Your Rights

2.1 Limited License: Subject to compliance with these Terms and during the Subscription Term, you have a non-exclusive, non-transferable, revocable right to access and use the Service for business communication purposes as per your subscription plan or Order Form.

3. Your Responsibilities

3.1 Account Management

  • Access is restricted to the number of Users specified in your Order Form. Each User must have unique credentials (username/password). Sharing logins is prohibited.

  • You are responsible for all activities under your Account, including unauthorized access due to your negligence.

3.2 Acceptable Use

You agree not to:

  • License, resell, lease, or commercially exploit the Service for third parties, except as expressly permitted.

  • Modify, hack, reverse-engineer, or disrupt the Service’s infrastructure.

  • Use the Service unlawfully (e.g., spamming, phishing, harassment, transmitting hate speech, malware, or infringing third-party rights).

  • Violate telecom laws (e.g., TCPA, GDPR, Do-Not-Call registries) or export control regulations.

  • Use automated tools to scrape, crawl, or monitor the Service.

3.3 Emergency Services & Legal Compliance

  • The Service cannot be used to contact emergency services (e.g., 911). Aancall disclaims all liability for such use.

  • You are solely responsible for complying with local telecom laws.

3.4 Call Recording

  • If you record calls, you must comply with all applicable laws (e.g., obtaining prior consent). Aancall bears no liability for your violations.

3.5 SMS/MMS Restrictions

  • SMS capabilities via Aancall Numbers are subject to local regulations (e.g., TCPA compliance in the USA).

  • SMS usage is limited to 2,000 segments/day (1 segment = 160 characters) per approved brand.

3.6 Prohibited Industries

You may not use the Service if engaged in:

  • Technical support scams, spellcasting, airline ticket booking, online dating, or any illegal activity.

  • High-risk industries (e.g., gambling, adult content) as defined in our Fair Use Policy.

4. Service Description

4.1 Aancall provides cloud-based communication solutions, including but not limited to:

  • Virtual phone numbers, call forwarding, IVR systems, call analytics, and recording.

  • SMS/MMS services, APIs, and integrations with third-party platforms (e.g., CRM tools).

4.2 Updates & Availability:

  • We may update, modify, or discontinue features at our sole discretion.

  • Scheduled downtime for maintenance will be communicated 48 hours in advance via email or in-app notifications.

5. Aancall Phone Numbers

5.1 Activation:

  • Numbers are activated within 15 business days post-submission of required documentation (e.g., proof of address, business registration).

  • Aancall may request additional documentation at any time.

5.2 Portability & Cancellation:

  • Porting requests are processed within 15 business days if the number is active. Delays caused by third parties are not our responsibility.

  • We may block/cancel numbers for legal compliance, fraud prevention, or Terms violations.

6. Fair Use Policy

6.1 Our Fair Use Policy defines acceptable usage limits for unlimited plans, SMS, and call concurrency. Exceeding limits may result in additional charges or plan upgrades.

7. Payment & Billing

7.1 Subscription Charges

  • Fees are based on your plan (monthly/annual) and usage (minutes, numbers, features).

  • Pricing is subject to change with 30 days’ notice.

7.2 Billing Cycles

  • Monthly plans auto-renew unless canceled. Annual plans require upfront payment.

  • Failure to pay within 10 days of notice may result in suspension/termination.

7.3 Refunds & Cancellation

  • Fees are non-refundable. No credits for partial months or unused services.

  • Annual plans terminated early incur a prorated cancellation fee (remaining balance × 50%).

7.4 Taxes

  • You are responsible for taxes (e.g., VAT, GST).

8. Intellectual Property

8.1 Ownership:

  • Aancall retains all rights to the Service, trademarks, software, and Documentation.

  • You own your Content but grant Aancall a royalty-free license to process it for Service delivery.

9. Third-Party Services

9.1 Integrations:

  • Third-party services (e.g., CRM tools) are subject to their terms. Aancall disclaims liability for their use.

  • You are responsible for ensuring compliance with third-party terms and data privacy laws.

10. Termination

10.1 By You:

  • Terminate via the Aancall dashboard. Material breaches by Aancall require 30 days’ notice to cure.

10.2 By Aancall:

  • Immediate termination for breaches, non-payment, or legal compliance.

10.3 Post-Termination:

  • All data is deleted after 2 years, unless legal obligations require retention. You may export data within 30 days of termination.

11. Confidentiality & Data Privacy

11.1 Security:

  • Use strong passwords. Report unauthorized access immediately.

  • We employ industry-standard measures (e.g., encryption) to protect your data.

11.2 GDPR/CCPA Compliance:

12.1 “As Is” Service:

  • The Service is provided without warranties of merchantability, fitness, or accuracy.

  • We disclaim liability for outages, carrier issues, or third-party integrations.

13. Limitation of Liability

13.1 Cap on Liability:

  • Our aggregate liability is limited to $100 or fees paid in the prior 6 months, whichever is higher.

  • Exclusions: Liability caps do not apply to gross negligence, willful misconduct, or statutory violations.

14. Indemnification

14.1 You agree to indemnify Aancall against losses from:

  • Your breach of these Terms.

  • Claims by third parties (e.g., recipients of calls/SMS).

  • Aancall will notify you of claims promptly and allow you to control the defense.

15. Governing Law & Dispute Resolution

15.1 Jurisdiction:

  • Governed by the laws of Wyoming, USA. EU users retain GDPR rights.

15.2 Arbitration:

  • Disputes resolved via binding arbitration under AAA Rules in Sheridan, Wyoming.

16. Miscellaneous

16.1 Amendments:

  • Updated Terms take effect after 30 days’ notice via email or in-app alerts.

16.2 Force Majeure:

  • Not liable for delays caused by events beyond our control (e.g., natural disasters).

16.3 Export Compliance:

  • Adhere to U.S. sanctions laws. Do not use the Service if on a sanctions list.

  • Order Form: A document specifying your subscription plan, fees, and term.

  • Subscription Term: The period during which you subscribe to the Service.

  • User: Individuals authorized to access the Service under your Account.

  • Segment: SMS message unit (160 characters or less).
